Terms of Service

Effective date: 1 April 2026

1. Service Description

Rubyprop is a cloud-based property management platform operated by Rubynet (Pty) Ltd ("we", "us", "our"). The platform enables property practitioners to manage rental applications, FICA compliance, lease agreements, mandates, disclosure forms, consent forms, onboarding packs, and related property management documentation digitally.

2. Eligibility

Rubyprop is designed for South African property practitioners, including estate agents, rental agents, property managers, and landlords. By using the platform, you represent and warrant that:

You are at least 18 years of age.
You have the legal capacity to enter into a binding agreement.
If operating as a property practitioner, you hold the necessary registrations with the Property Practitioners Regulatory Authority (PPRA), formerly the Estate Agency Affairs Board.
You will comply with all applicable South African laws, including the Estate Agency Affairs Act 112 of 1976, the Rental Housing Act 50 of 1999, the Financial Intelligence Centre Act 38 of 2001, and the Consumer Protection Act 68 of 2008.

3. Account Registration and Security

To use Rubyprop, you must create an account with a valid email address and password. You are responsible for:

Maintaining the confidentiality of your login credentials.
All activities that occur under your account.
Notifying us immediately of any unauthorised use of your account.
Ensuring that the information you provide is accurate and up-to-date.

We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscription and Fees

Rubyprop offers tiered subscription plans billed in South African Rands (ZAR). Payments are processed through PayFast, a South African payment gateway.

Subscription fees are billed monthly in advance on the date of initial subscription.
All prices are inclusive of VAT where applicable.
We reserve the right to change subscription pricing with 30 days' written notice.
Failed payments may result in temporary suspension of premium features until payment is resolved.
Refunds are handled on a case-by-case basis in accordance with the Consumer Protection Act.

5. Free Plan and Plan Limitations

A free plan is available with limited functionality. Free plan accounts are subject to usage limits on properties, documents, and contacts. We reserve the right to modify free plan limits at any time. Free plan data is retained for 12 months of inactivity, after which the account and associated data may be deleted with prior notice.

6. Document Accuracy Disclaimer

Rubyprop provides document templates and generation tools as a convenience. While our templates are based on standard South African property management practices:

We do not provide legal advice. Documents generated through Rubyprop do not constitute legal counsel.
You are responsible for reviewing all documents for accuracy and legal compliance before use.
We recommend consulting a qualified attorney for complex or non-standard arrangements.
We are not liable for losses arising from the use of generated documents without professional legal review.

7. Intellectual Property

All intellectual property in Rubyprop, including but not limited to the software, design, trademarks, logos, document templates, and content, is owned by Rubynet (Pty) Ltd or its licensors. You may not:

Copy, modify, or distribute any part of the platform without prior written consent.
Reverse-engineer, decompile, or disassemble the platform.
Use the Rubyprop or Rubynet name, logo, or branding without authorisation.

8. User Content and Data

You retain ownership of all data, documents, and content you upload to or create through Rubyprop ("User Content"). By using the platform, you grant us a limited licence to store, process, and display your User Content solely for the purpose of providing the service. We will not use your User Content for any other purpose without your consent.

You are responsible for ensuring that your User Content does not infringe on the rights of any third party or violate any applicable laws.

9. Prohibited Uses

You may not use Rubyprop to:

Engage in any unlawful activity, including money laundering or fraud.
Upload malicious software, viruses, or any harmful code.
Attempt to gain unauthorised access to other users' accounts or data.
Scrape, crawl, or harvest data from the platform.
Interfere with or disrupt the integrity or performance of the platform.
Store or process data unrelated to property management.
Resell or sublicense access to the platform without authorisation.

10. Limitation of Liability

To the maximum extent permitted by South African law:

Rubyprop is provided "as is" and "as available" without warranties of any kind.
We do not warrant that the service will be uninterrupted, error-free, or secure.
Our total liability for any claims arising from or related to the service shall not exceed the fees paid by you in the 12 months preceding the claim.
We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Rubynet (Pty) Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the platform.
Your violation of these terms.
Your violation of any applicable law or the rights of any third party.
Documents generated or actions taken through your account.

12. Termination

Either party may terminate this agreement at any time. Specifically:

You may cancel your subscription and delete your account at any time through the platform settings.
We may suspend or terminate your account for breach of these terms, with reasonable notice where practical.
Upon termination, your access to the platform ceases, but we may retain data as required by law (see our Privacy Policy).
You may request an export of your data before termination.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

14. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA). If mediation fails, the dispute may be referred to arbitration or the courts of South Africa as appropriate.
